1. Acceptance of Terms

By accessing and using Idynic (“Service”, “Platform”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

  • Resume parsing and professional identity extraction
  • AI-assisted career story capture and enrichment
  • Opportunity matching and solution profile generation
  • Application material creation and optimization
  • Professional identity management and sharing

The Service uses artificial intelligence and machine learning technologies to analyze, process, and generate content based on your professional information. All AI-generated content is provided as suggestions and should be reviewed for accuracy before use.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

  • Provide accurate and complete information during registration
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years old (or the age of majority in your jurisdiction) to use the Service
  • Not create multiple accounts for the same individual
  • Not share your account with others

4. Acceptable Use

You agree not to:

  • Interfere with or disrupt the Service, servers, or networks connected to the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without written permission
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Impersonate another person or organization, or falsely claim an affiliation
  • Harass, abuse, or harm other users, or violate their privacy or intellectual property rights
  • Use the Service to send spam, unsolicited communications, or commercial advertisements
  • Circumvent any access restrictions, rate limits, or usage restrictions we implement

Violation of these acceptable use provisions may result in immediate account suspension or termination, and we reserve the right to report illegal activities to law enforcement authorities.

5. AI-Powered Services

Our Service uses artificial intelligence and machine learning technologies, including large language models, to analyze and generate content. By using the Service, you acknowledge and agree to the following:

5.1 AI Accuracy and Limitations

  • AI-generated content may contain inaccuracies, errors, or “ hallucinations” (fabricated information)
  • You are solely responsible for reviewing, verifying, and validating all AI-generated content before use
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated suggestions, profiles, or application materials
  • You should not rely solely on AI-generated content for important career decisions without independent verification

5.2 AI Training and Your Data

  • We use third-party AI services (including but not limited to OpenAI, Anthropic, and other providers) to power our features
  • By default, your data is NOT used to train third-party AI models. We have opted out of AI training with our providers where available
  • We may use anonymized, aggregated data to improve our own AI models and Service features
  • You can request that your data be excluded from our internal model training by contacting privacy@idynic.com

5.3 Human Review Recommended

While our AI provides powerful assistance, we strongly recommend human review for:

  • All application materials before submission to employers
  • Professional identity claims extracted from your resume or stories
  • Opportunity match assessments and coverage analysis
  • Any content that will be publicly shared or used in professional contexts

⚖️ REVIEW REQUIRED: Additional disclaimers may be required for specific jurisdictions regarding AI accuracy, liability for AI-generated content, and compliance with emerging AI regulations (EU AI Act, etc.). Legal counsel should review this section for adequacy.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, functionality, and design are owned by Idynic and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or software, nor may you reverse engineer or attempt to extract source code unless permitted by law or with our written permission.

6.2 Your Content and Data

You retain ownership of all content you upload to the Service, including:

  • Resumes and professional documents
  • Career stories and narratives
  • Personal information and professional history
  • Uploaded files, images, and media

6.3 License Grant to Idynic

By uploading content to the Service, you grant Idynic a limited, non-exclusive, worldwide, royalty-free license to:

  • Process, analyze, and store your content to provide the Service
  • Use AI and machine learning to extract professional identity markers from your content
  • Generate derivative works (solution profiles, application materials, etc.) based on your content
  • Display your content within the Service interface to you and users you authorize
  • Create anonymized, aggregated analytics and insights (with no personally identifiable information)

This license terminates when you delete your content or close your account, except for:

  • Content you have shared with others (which remains available to those users)
  • Anonymized, aggregated data that cannot be linked back to you individually
  • Backup copies retained for security and legal compliance (up to 90 days)

⚖️ REVIEW REQUIRED: License terms should be reviewed for scope, termination provisions, and compatibility with GDPR “right to erasure”. Work-for-hire language may be needed for certain AI-generated outputs.

7. Payment Terms & Refunds

7.1 Subscription Plans

Paid subscriptions are billed in advance on a recurring basis (monthly, annually, or as otherwise specified). By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

We use Stripe as our payment processor. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full credit card information on our servers.

7.2 Pricing Changes

We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription term. You will be notified of price changes at least 30 days before your next renewal. If you do not agree to the new pricing, you may cancel your subscription before the renewal date.

7.3 Cancellation

You may cancel your subscription at any time by:

  • Visiting your account settings and selecting “Cancel Subscription”
  • Contacting our support team at support@idynic.com

Upon cancellation, your subscription will remain active until the end of the current billing period. You will not be charged for subsequent periods. Your account will automatically downgrade to our free tier (if available) at the end of the paid period.

7.4 Refund Policy

We offer refunds under the following circumstances:

  • 14-Day Money-Back Guarantee: If you are not satisfied with your subscription, you may request a full refund within 14 days of your initial purchase. This applies to first-time subscribers only.
  • Pro-Rated Refunds: We do not offer pro-rated refunds for mid-cycle cancellations. Your subscription remains active until the end of the billing period.
  • Service Interruptions: If our Service experiences prolonged downtime (more than [X hours/days]) due to issues within our control, you may be eligible for a pro-rated credit or refund.
  • Billing Errors: If you believe you have been charged in error, contact us within 30 days and we will investigate and issue a refund if appropriate.

7.5 Taxes

All fees are exclusive of applicable taxes, duties, or levies (including VAT, sales tax, etc.). You are responsible for paying all applicable taxes associated with your use of the Service. If we are required to collect taxes, they will be added to your invoice.

8. Data Processing

By using our Service, you acknowledge and consent to our data processing practices as described in our Privacy Policy. Key points include:

  • We process your personal data to provide the Service, as described in our Privacy Policy
  • For users in the EU/EEA, we process your data based on legal grounds including contract performance, legitimate interests, and consent where required
  • We use third-party service providers (AWS, Stripe, AI providers) who may process your data on our behalf
  • We implement appropriate technical and organizational security measures to protect your data
  • You have rights regarding your personal data as described in our Privacy Policy, including access, correction, deletion, and data portability

⚖️ REVIEW REQUIRED: Data Processing Agreement (DPA) terms for GDPR compliance should be reviewed. For B2B customers, a separate DPA may be required. International data transfer mechanisms (Standard Contractual Clauses, etc.) should be specified.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable, particularly AI-generated content
  • The quality of any products, services, information, or other material obtained through the Service will meet your expectations
  • Any errors in the Service will be corrected

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDYNIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Loss of or damage to business reputation
  • Business interruption
  • Lost employment opportunities
  • Reliance on AI-generated content that contains inaccuracies or leads to unfavorable outcomes
  • Any other intangible losses, whether based on warranty, contract, tort (including negligence), or any other legal theory

This limitation applies even if we have been advised of the possibility of such damages.

9.3 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid to us in the 12 months preceding the claim, or
  • $100 USD

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations and exclusions may not apply to you, and our liability will be limited to the maximum extent permitted by law.

10. Termination

10.1 Termination by You

You may terminate your account at any time by visiting your account settings or contacting support@idynic.com. Upon termination:

  • Your subscription will cancel (subject to Section 7.3 above)
  • You will have 30 days to export your data before your account is fully deleted
  • After 30 days, all your data will be permanently deleted from our systems

10.2 Termination by Us

We reserve the right to suspend or terminate your account, with or without notice, for conduct that:

  • Violates these Terms or our Acceptable Use Policy
  • Is harmful to other users, us, or third parties
  • Violates applicable laws or regulations
  • Exposes us to legal liability
  • Involves fraudulent activity, payment disputes, or chargebacks without resolution

Where legally required, we will provide reasonable notice before termination (except in cases of suspected fraud, security threats, or legal violations).

10.3 Effect of Termination

Upon termination by either party:

  • Your right to use the Service immediately ceases
  • We will provide you with a reasonable opportunity to export your data
  • You remain liable for all fees incurred prior to termination (no refunds for partial months unless required by law)
  • Sections that by their nature should survive (IP, Liability, Disputes, etc.) will remain in effect

11. Dispute Resolution & Governing Law

11.1 Governing Law

11.3 Class Action Waiver

Note: Class action waivers are not enforceable in many jurisdictions (EU, California consumers under certain conditions, etc.).

11.4 Venue and Jurisdiction

  • Display a prominent notice on the Service or in your account dashboard

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of those changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your account before the effective date.

For non-material changes (typos, clarifications, etc.), we may update these Terms without notice, but the “Last Updated” date will always reflect the most recent version.
